Terms of Service

Your agreement for using the ORBIS platform and its autonomous AI agents.

Acceptance of Terms

1.1 By accessing or using the ORBIS platform, website (orbis.restaurant), or any services provided by Orbis AI, LLC ("ORBIS," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

1.2 These Terms apply to all users of the ORBIS platform, including restaurant owners, managers, and staff members who interact with ORBIS Agents via WhatsApp or any other interface.

1.3 ORBIS reserves the right to modify these Terms at any time. Changes become effective upon posting to orbis.restaurant/terms. Continued use after changes constitutes acceptance.

Description of Services

2.1 ORBIS provides an autonomous AI-powered operating system for independent restaurants. The platform consists of specialized AI Agents that monitor, analyze, and act on operational data including financial documents, supplier invoices, guest reviews, kitchen compliance, staff scheduling, knowledge management, and telephone reservations.

2.2 ORBIS Agents operate 24/7 and deliver notifications, reports, and actions via WhatsApp. The platform is designed to function autonomously with minimal human intervention, though the Client retains full control over all strategic decisions.

2.3 Specific Agents and features available to each Client depend on the subscribed plan as defined in the Client Service Agreement.

Accounts and Access

3.1 Registration. To use ORBIS, you must complete the onboarding process at orbis.restaurant, including connecting your Gmail account via Google OAuth 2.0 and providing a WhatsApp number for notifications.

3.2 Account Security. You are responsible for maintaining the security of your account credentials, Gmail access, and WhatsApp number. You must notify ORBIS immediately of any unauthorized access.

3.3 Authorized Users. You may designate managers and staff to interact with ORBIS Agents (e.g., The Brain knowledge base). You are responsible for ensuring all authorized users comply with these Terms.

Payment Terms

4.1 Subscription fees are billed monthly in advance as specified in your Client Service Agreement. All fees are in U.S. Dollars and are non-refundable except as expressly stated in the Client Service Agreement.

4.2 ORBIS reserves the right to suspend Services if payment is overdue by more than fourteen (14) days. Suspension does not relieve Client of the obligation to pay outstanding amounts.

4.3 ORBIS may adjust pricing with thirty (30) days written notice. Price changes take effect at the start of the next billing cycle following the notice period.

Intellectual Property

5.1 ORBIS IP. The ORBIS platform, including all Agents, algorithms, prompt logic, architectures, source code, documentation, brand assets, and the orbis.restaurant website, are the exclusive property of Orbis AI, LLC. Nothing in these Terms grants you any ownership rights in ORBIS intellectual property.

5.2 Client Data. You retain all ownership rights in your data. ORBIS uses your data solely to provide the Services as described in the Privacy Policy.

5.3 Feedback. If you provide suggestions, ideas, or feedback about ORBIS, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

AI Disclaimer

7.1 ORBIS Agents use artificial intelligence (Anthropic Claude API) to analyze data, generate reports, draft communications, and take automated actions. While we strive for accuracy, AI-generated outputs may contain errors.

7.2 You acknowledge and agree that: (a) ORBIS does not guarantee the accuracy, completeness, or reliability of any AI-generated output; (b) you retain ultimate responsibility for all business decisions; (c) automated actions taken by Agents (such as supplier dispute emails or review responses) are taken on your behalf and at your direction; (d) ORBIS is not a substitute for professional financial, legal, or compliance advice.

Limitation of Liability

8.3 These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

Termination

9.1 Either party may terminate the service relationship as specified in the Client Service Agreement. Upon termination, your access to ORBIS Agents will be discontinued.

9.2 Sections 5, 6, 7, 8, and 10 survive termination of these Terms.

General

10.1 Governing Law. These Terms are governed by the laws of the State of Delaware.

10.2 Dispute Resolution. Disputes shall be resolved by binding arbitration in New York, NY, under the rules of the American Arbitration Association.

10.3 Severability. If any provision is held invalid, the remaining provisions continue in full force.
